Fiduciary

Fiduciary services include the provision of services to enable the company to meet local law requirements as well as ensure its proper operation. GoalTrust provides the following services:

  1. Corporate Directorship. Corporate Directorship to ensure the smooth operation at all times especially when dealing with Government offices. GoalTrust undertakes to act as director in the said company exercising all rights arising from law and the articles of the company.
  2. Company Secretary. Company Secretary (the person that knows the local law and can apply/advise on the implementation of the company articles as well as keep the register of shareholders). GoalTrust undertakes to act a company secretary of the company undertaking among others to keep the official company minutes of the board of directors of the company as well as the shareholder’s register.
  3. Company Registered Office. Registered office (law dictate that must be in the republic). GoalTrust undertakes act as the registered office of the company where all correspondence for the company is delivered.
  4. Annual Legal returns. We complete the legal returns to the Company Registrar

We also provide Escrow services based on private agreements. Escrow refers to:

  1. an arrangement made under contractual provisions between transacting parties, whereby an independent trusted third party receives and disburses money or documents for the transacting parties, with the timing of such disbursement by the third party dependent on the fulfillment of contractually-agreed conditions by the transacting parties, or
  2. an account established by a broker, under the provisions of license law, for the purpose of holding funds on behalf of the broker’s principal or some other person until the consummation or termination of a transaction; or,
  3. a trust account held in the borrower’s name to pay obligations such as property taxes and insurance premiums.

GoalTrust offers the following escrow services:

  1. Escrow services
    1. Shareholder trustee. GoalTrust acts as trustee to the shares owned by a beneficial shareholder.
    2. Escrow account trustee. GoalTrust provides escrow account for execution of agreements.
  2. IT Escrow services
    1. Production and backup records. GoalTrust undertakes to safeguard IT records by providing technology to host production or backup electronic records.
    2. Escrow for software code. GoalTrust undertakes to safeguard software code purchased on a license agreement from vendors through an escrow agreement. This safeguards the licensor from the possibility that the vendor alienates the license or software in any way.
